Terms of service

These Terms govern the use of MenueQR.

1. Provider

Legal form: sole proprietorship. No commercial register entry. No VAT ID and no business identification number.

2. B2B-only, registration, contract formation

MenueQR is strictly for business users (entrepreneurs/legal entities). Registration, purchase, and use are allowed only on behalf of a business.

B2B status and minimum age (18+) must be confirmed at registration and checkout. False confirmation is a material breach and may lead to immediate suspension or termination.

Users represent that they act as an entrepreneur within the meaning of Sec. 14 German Civil Code (BGB) and not as a consumer under Sec. 13 BGB. The provider may request suitable business/billing information for verification.

3. Services and availability

MenueQR is a SaaS service for digital QR menus. No specific uptime, unchanged features, or guaranteed outcomes are promised. No SLA is currently offered.

4. Service and terms changes

Features may be added, changed, or removed within reasonable limits. Material ToS updates are notified at least 14 days in advance by email and/or in-app notice. Continued use after the effective date means acceptance.

5. Pricing, term, renewals, payment

Plans: monthly, yearly, or custom invoice. Subscriptions auto-renew unless cancelled before the next renewal date. Cancellation takes effect at the end of the already paid period.

6. No consumer withdrawal right for businesses

As MenueQR is offered on a B2B-only basis, statutory consumer withdrawal rights under Sec. 312g BGB do not apply to business customers. Mandatory law remains unaffected.

7. Refunds

Refund terms are defined in /refund.

8. Content, rights, references

Users keep ownership of their content. For service operation, users grant MenueQR a non-exclusive, worldwide, royalty-free license to technically process and display such content.

Customer name/logo references are used only with prior explicit opt-in consent, revocable for future use at any time.

9. Prohibited use

• illegal or misleading content,
• infringement of third-party IP or other rights,
• malware, spam, phishing, fraud, or unauthorized access,
• reverse engineering, circumvention, account resale.

10. Copyright complaints

Reports can be sent to [email protected] and should include rights holder details, affected content/URL, and legal basis.

11. Suspension and termination for cause

Access may be immediately restricted, suspended, or terminated for breach, false statements, payment default, legal violations, abuse, or security risk.

12. Limitation of liability

Unlimited liability applies only for intent, gross negligence, and injury to life/body/health. For slight negligence, liability is limited to breach of essential obligations and foreseeable typical damage.

13. Data protection

Personal data processing is governed by /privacy.

14. Governing law and jurisdiction

These Terms are governed by German law, excluding CISG. Exclusive jurisdiction for business customers is Hannover, Germany, where legally permitted.
